The provider is Eric Mollenthiel, a sole proprietor (entrepreneur individuel), who operates the Lastnod service; the customer is the person or company that uses it, including as a guest collaborator on a project. The articles 8 and 10 cited are those of the terms of the service subscribed to by the customer.
What stays with the provider
The Lastnod software (code, backend, interfaces), its working method and its base modules remain the property of the provider. The customer receives, for the duration of the service, a personal, non-exclusive, non-assignable and non-transferable right of use, limited to the needs of its own activity. It may read them and have its agents use them; it may not modify them, copy them outside this use, resell them, or make them available to a third party. The backend code is not delivered. Improvements to the software and to the base modules remain with the provider and benefit the customer for the duration of the service.
The customer undertakes not to use, directly or through a third party, the Lastnod software, its agents, its method, its base modules, its tools or their outputs to design, develop, document or feed, for itself or for a third party, a piece of software or a service that reproduces or replaces all or part of this software: agent orchestration, continuity of work between sessions, control center, working method. It likewise undertakes not to methodically extract the base modules, the instructions or the workings of the tools, and not to attempt to reconstruct the backend, notably by reverse engineering or systematic recording of its outputs, within the limits allowed by law. This prohibition limits neither the use of the service for the customer's own activity, including where that activity makes use of artificial intelligence, nor the export of what belongs to it (article 8), free at any time. If a breach is found, the provider may suspend access without delay, informing the customer in writing, then terminate without notice; article 10 then applies, and the provider retains the right to obtain compensation for its loss. Beyond these cases, the invited guest undertakes not to engage in any use or conduct, even if not provided for by these terms, that causes or seriously risks causing harm to the provider, the service, its suppliers, its customers or any third party: harm to their security, their stability, their reputation or their relationships with their own suppliers, fraud, false statement, abusive or insulting conduct towards the provider or its customers. The provider judges this in good faith and gives written reasons for its decision; it may then suspend and subsequently close access. After a definitive closure for breach, neither the customer, nor the company it represents, nor any person acting on their behalf may subscribe to Lastnod again or be invited to it, except with the prior written consent of the provider; any subscription or invitation to the contrary is terminated without notice or compensation.
